Terms of Service - MD Careers

1. Introduction

These Terms of Service ("Terms") govern your use of MD Careers ("we," "us," "our," or "the Platform"), a job board platform connecting licensed physicians with healthcare facilities in Ontario, Canada. By accessing or using our Platform, you agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree to these Terms, you may not access or use the Platform.

2. Definitions

• "User" means any individual or entity using the Platform
• "Job Seeker" means a licensed physician seeking employment opportunities
• "Employer" means a healthcare facility or authorized representative posting job opportunities
• "Job Posting" means employment opportunities listed on the Platform
• "Content" means all text, data, information, and materials submitted to or displayed on the Platform

3. Eligibility and Account Requirements

3.1 Job Seeker Eligibility

To create an account as a Job Seeker, you must:

• Be a licensed medical doctor (MD) with an active license from the College of Physicians and Surgeons of Ontario (CPSO)
• Be legally authorized to practice medicine in Ontario, Canada
• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials

3.2 Employer Eligibility

To create an account as an Employer, you must:

• Represent a legitimate healthcare facility or organization authorized to hire healthcare professionals in Ontario
• Have the legal authority to recruit and hire medical professionals
• Ensure all job postings comply with applicable employment laws and regulations
• Provide accurate and complete registration information

3.3 Account Verification

By creating an account, you represent and warrant that:

• All information provided is true, accurate, current, and complete
• You will maintain and update your information to keep it accurate and current
• You have the legal capacity to enter into these Terms
• Your use of the Platform will not violate any applicable laws or regulations

3.4 Prohibited Users

The following individuals or entities are prohibited from using the Platform:

• Unlicensed individuals attempting to access Job Seeker accounts
• Organizations not authorized to hire healthcare professionals
• Users who have been previously suspended or banned from the Platform
• Anyone using the Platform for fraudulent or illegal purposes

4. Platform Services

4.1 For Job Seekers

The Platform provides Job Seekers with:

• Access to browse job postings from healthcare facilities
• Ability to search and filter job opportunities
• Profile management capabilities
• Direct contact information to apply for positions via email

4.2 For Employers

The Platform provides Employers with:

• Ability to post job opportunities after payment
• Job posting management and editing capabilities
• Access to view and manage active job postings
• Automatic posting and removal based on selected posting duration

4.3 Application Process

• Job applications are made directly between Job Seekers and Employers via email
• The Platform facilitates initial contact but is not involved in the application or hiring process
• All communications regarding specific positions occur outside the Platform

5. User Responsibilities and Conduct

5.1 General Responsibilities

All Users must:

• Use the Platform only for lawful and authorized purposes
• Comply with all applicable federal, provincial, and local laws
• Respect the intellectual property rights of others
• Maintain the security and confidentiality of account credentials
• Provide accurate and truthful information at all times

5.2 Prohibited Activities

Users are strictly prohibited from:

• Posting false, misleading, fraudulent, or discriminatory content
• Impersonating another person or entity
• Attempting to gain unauthorized access to other accounts or Platform systems
• Using automated systems, bots, or scripts to access the Platform
• Interfering with or disrupting the Platform's operation
• Collecting or harvesting information from other users without consent
• Using the Platform to distribute spam, malware, or other harmful content
• Engaging in any activity that violates professional medical ethics or standards

6. Job Postings and Payment Terms

6.1 Job Posting Process

• Employers must pay the applicable fee before job postings are published
• Job postings are automatically published immediately after successful payment processing
• Posting duration is determined by the package selected during the posting process
• All pricing information is available on our pricing page and subject to change

6.2 Job Posting Management

• Employers can edit job postings after publication through their account dashboard
• Job postings cannot be cancelled or refunded once successfully published, except as outlined in Section 6.4
• Job postings will automatically expire based on the selected posting duration
• Expired postings can be renewed by purchasing a new posting package

6.4 Refund Policy

Refunds will only be provided in the following circumstances:

• Technical failures that prevent job posting publication despite successful payment
• Job postings published with significant errors due to Platform malfunction
• Duplicate charges due to payment processing errors

Refunds will NOT be provided for:

• Change of mind after successful job posting publication
• Employer-generated errors in job posting content (these can be corrected through editing)
• Failure to receive desired number or quality of applications
• General dissatisfaction with Platform services

7. Content and Intellectual Property

All content, design, graphics, software, and other materials on the Platform (excluding User-generated content) are owned by MD Careers and protected by copyright, trademark, and other intellectual property laws. Users may not copy, reproduce, distribute, or create derivative works without express written permission.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our privacy practices as described in the Privacy Policy.

9. Third-Party Services and Links

The Platform may integrate with or link to third-party services, websites, or applications. MD Careers is not responsible for:

• The content, accuracy, or practices of third-party services
• Any damages or losses arising from your use of third-party services
• The privacy practices of third-party services

10. Platform Availability and Modifications

We strive to maintain Platform availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or technical issues. We are not liable for any losses resulting from Platform downtime or unavailability.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, update these Terms as necessary, and implement new features or remove existing features without prior notice.

11. Account Termination and Suspension

Users may delete their accounts at any time through their profile settings. Account deletion results in permanent removal of account data from our systems. We may suspend or terminate User accounts immediately and without prior notice if users violate these Terms, engage in fraudulent activities, or provide false information.

12. Dispute Resolution and Reporting

Users may report suspected fraudulent job postings through our reporting system. We will investigate reported postings and remove fraudulent content when identified. MD Careers does not mediate disputes between Job Seekers and Employers. Users involved in disputes should seek resolution through appropriate legal channels.

13. Disclaimers and Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee job placement, interview opportunities, or employment outcomes.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MD CAREERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. In no event shall MD Careers' total liability to any User exceed the amount paid by that User to MD Careers in the twelve (12) months preceding the claim.

15. Indemnification

Users agree to indemnify, defend, and hold harmless MD Careers, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from or related to User's violation of these Terms, use of the Platform, inaccurate information provided, or professional conduct issues.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action or proceeding shall be brought exclusively in the courts of Ontario, Canada.

17. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between Users and MD Careers. If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Updates to Terms of Service

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on the Platform and sending email notifications for significant changes. Continued use of the Platform after modifications constitutes acceptance of the updated Terms.
